Why You May Need A Real Estate Contract Lawyer In New Jersey

A residential purchase and sale agreement is the binding contract that governs the essential terms of your home transaction. Your situation may involve circumstances that require terms beyond those of a standard contract, including:

  • First-time home purchase
  • Existing liens or title complications
  • Non-standard or disputed contract terms
  • Short sale or estate sale
  • Breakdown in negotiations
  • Pre- or post-closing dispute

At Mariano & Coiro, P.C., we review, draft, negotiate and resolve contract issues for New Jersey residential buyers and sellers.

What Does A New Jersey Residential Buy-Sell Agreement Cover?

A New Jersey buy-sell agreement covers the purchase price, closing date, property description and each party’s obligations. It also includes required disclosures and pre-closing conditions.

New Jersey law provides a three-business-day attorney review period for any contract prepared by a licensed New Jersey Realtor. Either party may disapprove the contract or propose modifications during this window, and we use this period to protect your legal rights and interests. A non-Realtor prepared contract should NEVER be signed before it is reviewed by our office, as it may not include an attorney review provision.

Common Contingencies In A Residential Buy-Sell Agreement

Contingencies are conditions the sale must meet before closing. Most New Jersey residential contracts include various contingencies, which may include:

  • Mortgage: Allows you to exit without penalty if financing falls through
  • Home inspection: Gives you the right to negotiate repairs or withdraw
  • Attorney review: Permits either party to modify or cancel the contract
  • Title: Ensures the seller can deliver a clear and marketable title
  • Sale: Makes the purchase contingent on selling your current home, if necessary.

Missing a contingency deadline may waive your rights and expose you to financial loss.

When A Buy-Sell Agreement Leads To A Dispute

Deposit and other disputes may arise when, for example, a seller refuses to release a buyer’s deposit after a deal is terminated.  In New Jersey, the outcome depends on which party breached the contract and under what circumstances.

Contract disputes also arise over various issues, such as inspection findings, failure to close or undisclosed defects. New Jersey law may provide remedies to an aggrieved party, including specific performance and compensatory damages. However, each particular situation is extremely fact sensitive. We evaluate your position and advise you on the most practical path forward.
